Terms of Service

1. Acceptance of Terms

By accessing or using the Modx platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including subscribers, administrators, and end-users within tenant workspaces.

2. Service Description

Modx is a multi-tenant SaaS platform that provides business management tools including CRM, financial management, project management, invoicing, and operational intelligence. Each subscriber receives an isolated workspace accessible via a unique subdomain.

3. Account Registration

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the confidentiality of your credentials
  • Accounts require email verification via activation link (valid for 24 hours)
  • One workspace per tax identification number (NIF/CPF/VAT) unless authorized

4. Subscription and Payment

Access to the Service requires an active subscription. Payment terms are defined at the time of subscription. All fees are non-refundable unless otherwise stated. We reserve the right to modify pricing with 30 days' notice.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to other workspaces
  • Upload malicious code, viruses, or harmful content
  • Reverse-engineer, decompile, or disassemble the platform
  • Resell or redistribute the Service without authorization

6. Data Ownership

You retain full ownership of all data you upload to the platform. Modx does not claim ownership over your content. Upon account termination, you may request a full data export within 30 days.

7. Service Level

We strive for 99.9% uptime. Planned maintenance will be communicated at least 24 hours in advance. We are not liable for downtime caused by third-party infrastructure failures, natural disasters, or force majeure events.

8. Termination

Either party may terminate the subscription at any time. Upon termination, your workspace will be deactivated. Data will be retained for 90 days before permanent deletion, during which you may request an export.

9. Limitation of Liability

To the maximum extent permitted by law, Modx shall not be liable for indirect, incidental, special, or consequential damages arising from the use or inability to use the Service.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of Portugal, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Lisbon, Portugal.
